Version 1.0 • Effective: 1 September 2026
These Terms govern the use of the TamTrak Platform by independent Co-Carriers. By accessing the Platform or using the Driver App, the Co-Carrier agrees to be bound by these Terms. These Terms form part of the contractual relationship between the Co-Carrier and TamTrak . In the event of conflict with a separate Co-Carrier Partnership Agreement, the Partnership Agreement prevails.

Article 2 — TamTrak’s Role as a Platform
TamTrak operates exclusively as a technology platform and logistics marketplace. TamTrak does not own transport assets, operate logistics services, or employ or control Co-Carriers, Hub Operators, or Drop-off Point Operators. All transport services are performed by independent Partners. TamTrak is not a carrier, freight forwarder, or logistics operator.
Article 3 — Independent Contractor Status
The Co-Carrier operates as an independent contractor. Nothing in these Terms creates any employment, agency, partnership, joint venture, or franchise relationship. The Co-Carrier retains full control over Planned Routes, working hours, vehicle usage, and business operations, and may work with other platforms or clients without restriction.
The Co-Carrier is solely responsible for all taxes, social contributions, insurance, licences, and operational costs associated with their business.
Article 4 — Booking Acceptance Rules
4.1 Planned Route Bookings (Mandatory Acceptance)
Once a Planned Route is published on the Platform, any Booking made on that Route is automatically accepted and legally binding on the Co-Carrier. The Co-Carrier may refuse such a Booking only where: the Shipment contains illegal or prohibited goods; the Shipment materially exceeds declared specifications; or safety or legal compliance is at immediate risk. Any valid refusal must occur before the QR custody transfer scan and will not negatively affect the Co-Carrier’s Performance Score.
4.2 Adhoc Bookings (Discretionary Acceptance)
Adhoc Bookings may be proposed to the Co-Carrier via the Platform. The Co-Carrier may accept or decline Adhoc Bookings at full discretion and incurs no direct penalty for declining such requests. Declining Adhoc Bookings does not negatively affect the Co-Carrier’s Performance Score, but may influence priority ranking in the Platform’s automated allocation of future Adhoc opportunities. The Co-Carrier is not guaranteed to receive Adhoc Booking requests.
⚑ The automated allocation mechanism does not restrict the Co-Carrier’s independence or ability to accept or decline work.
Article 5 — Platform Access
TamTrak grants the Co-Carrier a limited, revocable, non-exclusive licence to use the Driver App for the purpose of performing services on the Platform. The Co-Carrier must maintain account security, not share credentials, and comply with these Terms at all times.
Article 6 — Planned Routes
6.1 Route Creation
The Co-Carrier defines routes including origin, destination, stops, timing, capacity, and pricing. Routes are published on the Platform and are available for Senders to book against.
6.2 Route Manifest Finalisation
The Route Manifest becomes final 2 hours before the first scheduled pickup. No new Bookings will be added to the Route after this point.
6.3 Route Modifications
Modifications to a Route are permitted only if Senders with confirmed Bookings are notified at least 72 hours in advance and confirmed Shipments are not materially affected. Where a confirmed Shipment is materially affected, the Co-Carrier must, at its own cost, either (a) provide an equivalent alternative service that preserves the agreed service level and delivery requirements, or (b) obtain the affected Sender’s prior written agreement to the proposed change.
Modifications to a Route are permitted at any time where no Booking has been confirmed on the Route. Once a Booking has been confirmed, modifications are permitted only if Senders with confirmed Bookings are notified by the Co-Carrier at least 72 hours in advance of the proposed modification and the modification does not materially affect any confirmed Shipment.
| Circumstance | Consequence |
|---|---|
| No confirmed Booking on the Route | The Co-Carrier may modify the Route at any time without prior notice or approval. |
| First permitted modification after Booking confirmation | 2% deduction from Route earnings, provided the 72-hour notice requirement is met and no confirmed Shipment is materially affected. |
| Modification materially affecting a confirmed Shipment | 5% deduction from Route earnings, the Co-Carrier must provide an equivalent service or obtain the Sender’s prior written agreement. |
| Modification with less than 72 hours’ notice | 10% deduction from Route earnings, the modification constitutes non-compliance and the Co-Carrier must mitigate any resulting impact on affected Senders and Shipments. |
| Repeated modifications | Repeated or persistent modifications, particularly where they affect confirmed Bookings or Shipments, may be treated as a material service-performance issue and may trigger a corrective action plan. |
| Continued or material repeated modifications | Where repeated modifications are frequent, persistent, or materially disrupt confirmed Shipments, the Sender may suspend the Co-Carrier’s account, in accordance with the Agreement. |
| Failure to provide an equivalent service or obtain Sender agreement | The Co-Carrier is responsible for the resulting service failure and any applicable remedies, including reasonable additional costs. |
Any suspension of the Co-Carrier’s account shall be without prejudice to any other rights or remedies available to the Sender under the Agreement.
6.4 Route Cancellation
| Notice Given | Consequence |
| More than 72 hours before departure date | 5% deduction from Route earnings |
| 24–72 hours before departure date | 10% deduction from Route earnings |
| Less than 24 hours before departure date | 20% deduction from Route earnings |
Repeated cancellations may result in suspension of the Co-Carrier’s account. Any suspension of the Co-Carrier’s account shall be without prejudice to any other rights or remedies available to the Sender under the Agreement.
Article 7 — Custody and QR System
Shipments are transferred between parties via QR Events recorded in the Driver App. The Co-Carrier’s responsibility for a Shipment begins at the pickup QR scan and ends at the delivery QR scan. Missing or incomplete QR scans may result in payment withholding, investigation, or suspension.
Article 8 — Collection Procedures
At collection, the Co-Carrier must verify the Shipment against the Route Manifest, inspect the outer packaging for visible damage or discrepancy, and perform the pickup QR scan to record custody transfer.
8.1 Content Inspection
Content inspection is permitted only at the point of pickup. The Co-Carrier may visually inspect the contents of an open Shipment if necessary to verify declared specifications. The Co-Carrier may not open sealed Shipments during transit.
8.2 Cash-on-Pickup (COP)
Where COP applies, the Co-Carrier must collect the exact declared amount, issue a receipt, and confirm the collection in the Driver App. COP funds are retained by the Co-Carrier and deducted from the payout calculation. Misreporting of COP amounts is a serious breach and may result in termination.
Article 9 — Transport Obligations
The Co-Carrier must secure all cargo appropriately, protect Shipments from damage during transit, and use vehicles suitable for the type and volume of goods being transported. Shipments must not be opened during transit.
The Co-Carrier must also:
• carry out any Transport in accordance with the tax framework applicable to parcel co-transport, set by the relevant regulatory authority, and by respecting the concept of cost sharing as understood by the local tax authority applicable in the Co-Carrier’s country of residence;
• refrain from developing any professional, habitual, or commercial activity via the Platform;
• not communicate personal details or contact a Sender outside the Platform functionalities.
Article 10 — Delivery
Delivery may be to the recipient’s address, to a Hub, or to a Drop-off Point. The Co-Carrier must record a QR scan at delivery to close custody. After two failed delivery attempts, the Shipment may be redirected to a collection point. The Co-Carrier must report failed delivery attempts promptly via the Driver App.
Article 11 — Incident Reporting
Any incident (loss, damage, delay, failed delivery, suspected prohibited item, or other disruption) must be reported in the Driver App within 2 hours of occurrence, with: the shipment reference, location at time of incident, photographs (where applicable), and a written description of the incident.
Article 12 — Prohibited Activities
The Co-Carrier must not: transport illegal or prohibited goods; falsify QR Event data or shipment records; misuse personal data accessed via the Platform; collect payments from Senders or Recipients other than authorised COP amounts; or bypass the Platform for bookings or payments. Violations may result in immediate termination and referral to authorities.
Article 13 — Payments
Co-Carrier earnings are calculated as: total fares minus Platform commission minus applicable deductions (including COP amounts and any penalty deductions). Payments are processed within 5 working days of delivery confirmation.
13.1 Payment Disputes
The Co-Carrier may raise a payment dispute within 14 days of receiving an earnings statement by contacting operations@tamtrak.com. TamTrak will acknowledge the dispute within 3 business days and provide a resolution within 14 business days. Disputed amounts will not be withheld pending resolution unless there is evidence of fraud or a serious breach.
Article 14 — Performance Standards
| KPI | Target |
| On-time departure | ≥ 96% |
| Collection success rate | ≥ 95% |
| On-time delivery | ≥ 96% |
| QR scan compliance | ≥ 956% |
| Damage rate | < 0.1% |
Sustained failure to meet KPIs may result in reduced Adhoc allocation priority, suspension, or termination, following a review process. The consequences associated with each KPI threshold will be communicated to Co-Carriers and are subject to the appeals process below.
14.1 Consequences of KPI Failure
Where a Co-Carrier’s Performance Score falls below the target thresholds for two consecutive months: Adhoc allocation priority may be reduced; TamTrak will issue a formal performance notice; and the Co-Carrier will have 30 days to demonstrate improvement. Continued failure after this period may result in suspension, subject to the right of appeal.
14.2 Right of Appeal
Co-Carriers may request human review of any automated decision affecting their Performance Score, allocation priority, or account status. Appeals must be submitted to operations@tamtrak.com within 14 days of notification.
Article 15 — Data Protection
The Co-Carrier must use personal data accessed via the Platform solely for the purpose of completing the relevant delivery. Personal data must not be retained beyond 48 hours after delivery completion, shared with third parties, or used for any other purpose. TamTrak acts as data controller for Platform data.
Article 16 — Force Majeure
Neither party is liable for failure or delay caused by events beyond reasonable control.
Article 17 — Suspension and Termination
TamTrak may suspend or terminate a Co-Carrier’s access for serious breaches, illegal activity, fraud, misuse of Platform data, or repeated KPI failures following the process in Article 14. The Co-Carrier will be notified in writing and given a reasonable opportunity to respond except where immediate suspension is required to protect Platform integrity or user safety.
Article 18 — Dispute Resolution
Disputes should first be raised informally with operations@tamtrak.com. Unresolved disputes may be referred to mediation and, if necessary, litigation. These Terms are governed by French law; the courts of Paris have exclusive jurisdiction.
Article 19 — Amendments
TamTrak may update these Terms with 30 days’ notice for material changes. A ‘material change’ includes any change to commission rates, payment timelines, KPI thresholds, or core Co-Carrier obligations. Continued use of the Platform after the effective date constitutes acceptance.
